Practical application: If you use AI to reduce a contract review from 3 hours to 45 minutes, the ethical approach is to: (a) bill actual time spent at your hourly rate, or (b) charge a flat fee that reflects the value of the service to the client. What you cannot do is bill 3 hours for 45 minutes of work.

Rule 1.6 — Confidentiality

Model Rule 1.6 requires reasonable efforts to prevent unauthorized disclosure of client information.

What this means for AI contract review:

  • You must understand how the AI tool processes, stores, and potentially uses client data
  • Uploading a client’s contract to a general AI chatbot without understanding its data practices likely violates this rule
  • Opinion 512 recommends securing “informed consent” before using client confidences in AI tools
  • Boilerplate consent in engagement letters is “not adequate” (Opinion 512)

Practical application: Before using any AI tool on client contracts, verify:
1. Does the tool train on your data? (If yes, this is likely a Rule 1.6 problem)

F — Finalize with attorney judgment. After AI analysis, apply your legal expertise to the results. Add client-specific context, strategic considerations, and practice experience that no AI can replicate.

Y — Your signature goes on the work product. You are responsible for everything that leaves your office, regardless of how it was generated. If you would not sign the analysis without AI involvement, do not sign it with AI involvement.

Practical Exercise: AI-Assisted NDA Review

To demonstrate the practical application, here is how an AI-assisted NDA review works using a purpose-built contract review tool:

MSAs are more complex and demonstrate where the supervision framework becomes critical.

  • More clause types to review (typically 15-25 provisions vs. 5-8 for NDAs)
